CIBC Digital Business Terms of Service

1. Acceptance of Terms

By accessing or using the CIBC Digital Business website (digitalbusiness.co.com), CIBC Smart Banking platform, or any associated products and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you should not use our services. These terms constitute a legally binding agreement between you and the Canadian Imperial Bank of Commerce.

2. Eligibility

CIBC Digital Business services are available to: Canadian residents aged 18 or older; legally registered Canadian businesses and organizations; authorized representatives of eligible businesses. We reserve the right to verify eligibility and to decline service at our discretion in compliance with applicable laws.

3. Account Responsibilities

You are responsible for: maintaining the confidentiality of your login credentials and security information; all activities that occur under your account, whether or not you authorized them; promptly notifying CIBC of any unauthorized access or security breach; ensuring that all information you provide to CIBC is accurate, complete, and current; complying with all applicable laws and regulations in your use of our services.

4. CIBC Smart Banking Digital Services

CIBC Smart Banking provides digital access to your business banking services. While we strive for continuous availability, we do not guarantee uninterrupted access and may temporarily suspend services for maintenance, security updates, or system upgrades. By using CIBC Smart Banking, you consent to conducting banking transactions electronically and acknowledge that electronic instructions are as binding as written instructions.

5. Intellectual Property

All content on this website — including text, graphics, logos, images, software, and the CIBC and CIBC Smart Banking trademarks — is owned by or licensed to the Canadian Imperial Bank of Commerce and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our explicit written consent.

6. Limitation of Liability

To the maximum extent permitted by law, CIBC shall not be liable for: indirect, incidental, special, consequential, or punitive damages arising from your use of our services; losses resulting from unauthorized access to your account where you failed to maintain the security of your credentials; service interruptions due to circumstances beyond our reasonable control; errors or inaccuracies in content provided for informational purposes. Our total liability in connection with these terms shall not exceed the fees paid by you to CIBC in the 12 months preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless CIBC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: your use of our services in violation of these terms; your breach of any applicable law or regulation; any fraudulent or illegal activities conducted through your account.

8. Third-Party Services

Our website may contain links to third-party websites and services. CIBC does not control and is not responsible for the content, privacy policies, or practices of third-party services. Your interaction with third-party services is governed by their respective terms and conditions.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

10. Modifications

CIBC reserves the right to modify these Terms of Service at any time. Material changes will be communicated through the CIBC Smart Banking platform or via email at least 30 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance of the updated terms.
